Culisele Statului Paralel – Povestea controversatei privatizări Petrom

„Cine controlează Petrom, controlează economia, controlează şi politica”, spunea fostul premier Adrian Năstase pe 23 iulie 2004, ziua în care, la Palatul Victoria, statul român a finalizat cel mai important contract de privatizare pe care avea să-l facă vreodată, privatizarea Petrom în favoarea companiei austriece OMV.

Din această privatizare statul român a luat 669 de milioane de euro pentru 33% din acţiuni, operaţiunea fiind urmată de o majorare de capital de 830 de milioane de euro. La final, OMV a ajuns să dețină 51% din acțiuni.

Privatizarea Petrom din 2004 rămâne în continuare una dintre cele mai controversate decizii luate de statul român, deși la momentul vânzării către OMV firma avea pierderi de 240 de milioane de euro si peste 52.000 de angajați. Mai mulți specialiști din domeniu s-au pronunțat de nenumărate ori că sumele plătite de OMV statului român pentru privatizarea Petrom au fost infime.

Asta dacă ne gândim că, în 2004, înainte de privatizare, Petrom deținea rafinăriile Arpechim Pitești și Petrobrazi Ploiești – cu o capacitate de rafinare totală de 8 milioane de tone. Mai avea 612 stații de carburanți, din care o treime aduse la standarde europene, 146 de depozite, 1.540 de autocisterne rutiere, 1.470 de vagoane, 15.000 de kilometri de conducte de petrol și gaze și numerar în valoare de 160 de milioane de euro. Compania avea 13.856 de sonde petroliere, dar și pierderi mari.

Ba mai mult, statul s-a angajat la un contract înrobitor. Pentru suma plătită de austrieci, a concesionat aproape întreaga rezervă de țiței a țării și s-a angajat să nu majoreze redevențele petroliere de o perioadă de zece ani. Iar aici sunt incluse și jumătate din rezervele de gaze ale țării.

La 15 ani după privatizarea Petrom, au ieșit la iveală detalii uluitoare ale afacerii din care statul român a pierdut o avere uriașă. Între timp, OMV a devenit o companie-gigant. Afaceristul Ovidiu Tender a dezvăluit într-un interviu acordat Știrilor Pro TV că, deși Petromul a fost vândut cu 669 de milioane de euro, numai țițeiul din pământ de la acea vreme valora aproximativ 10 miliarde de dolari.

Grupul austriac a primit pe tavă și rezervele de hidrocarburi pe platforma continentală a Mării Negre. O afacere din care statul român câștigă doar câteva procente din prețul țițeiului extras, dar din care OMV-ul a câștigat și va câștiga cu siguranță sume astronomice de ordinul miliardelor de euro.

Miza zăcămintelor de hidrocarburi din Marea Neagră este foarte mare pentru România. Petrolul și gazele din platforma continentală ar putea asigura independența energetică a României față de Rusia, o țară pentru care petrolul și gazele naturale sunt arma cea mai importantă pentru avantajele strategice pe care și le crează.

Contractul de privatizare al Petrom cu firma austriacă OMV stipula faptul că statul român este obligat ca, pentru o perioadă de 15 ani de la privatizare, să despăgubească în totalitate orice pretenţii în legătură cu poluarea anterioară a mediului, iar pentru o perioadă de 30 de ani să plătească toate costurile de mediu legate de închiderea sondelor. Nu s-a întâmplat asta, iar în martie 2007, OMV a acționat în judecată statul român la Curtea de Arbitraj de la Paris, pentru costurile de scoatere din uz a sondelor și refacearea mediului. Potrivit deciziei Tribunalului arbitral, emisă în vara acestui an, statul român a pierdut procesul și e bun de plată. Astfel, OMV Petrom ar trebui să primească daune de la statul român în valoare de aproape 300 de milioane de lei.

În noiembrie 2007, Comisia de anchetă pentru privatizarea Petrom, constituită în Senat, a propus renegocierea contractului încheiat între grupul austriac OMV și statul român. După ce, timp de un an, avocați și specialiști în petrol și gaze au analizat toate aspectele privatizării, aceștia au ajuns la concluzia că statul a fost păgubit cu mai mult de patru miliarde de euro. Contractul ar conține mai multe clauze defavorabile statului român, una dintre ele fiind menținerea redevenței – taxă pe exploatarea gazelor și a petrolului – la același nivel până în 2014, potrivit Senatului. O altă clauză pe care specialiștii au considerat-o nefavorabilă statului se referă chiar la posibilitatea ca Petrom să încaseze despăgubiri fără limită de sumă pentru despăgubiri de mediu. Referitor la această clauză, comisia senatorială de anchetă a stabilit că nici măcar nu se stabilise nivelul de poluare anterioară şi a sondelor ce urmează să fie dezafectate. Aceste pretenţii vor avea implicaţii imprevizibile, pe următorii 15, respectiv, 30 de ani asupra costurilor ce vor fi suportate de Statul Român.

O altă concluzie a comisiei senatoriale de anchetă privind privatizarea Petrom este că tranzacţia n-ar fi avantajat deloc statul român. „Cum valoarea Companiei SNP PETROM SA a fost estimată ţinându-se cont şi de datoriile acumulate, anularea ulterioară a acestora de către Guvern, prin Contractul de privatizare, fără a modifica preţul de ofertă, reprezintă prejudiciu adus Statului Român”, se mai arată în concluzii.

Un alt raport, realizat de această dată de inspectorii Curtii de Conturi, a scos la iveală noi semne de întrebare. Contractul de privatizare prin care Petrom a ajuns, în anul 2004, în proprietatea austriecilor de la OMV nu a fost respectat, potrivit raportului. Instituția de control reclamă faptul că austriecii nu au efectuat majorarea capitalului cu contravaloarea terenurilor primite de la stat şi pe care au primit certificate de atestare a dreptului de proprietate, privând astfel statul de un pachet mai mare de acţiuni. Curtea de Conturi arată că a dispus încă din anul 2009 inventarierea tuturor terenurilor transferate societăţii de către statul român şi majorarea capitalului în mod corespunzător. Dar în raportul de pe anul 2015, instituţia constată că nu s-a finalizat operaţiunea.

Privatizarea Petrom a făcut ca firma căpușată din toate părțile și cu pierderi enorme să fie eficientizată aproape instantaneu de austrieci: dacă în 2004, în anul privatizării, înregistra o pierdere de 974 de milioane de lei – circa 246 de milioane de euro – si avea 52.000 de angajați, în anul 2010, compania raporta un profit net de 520 de milioane de euro. Și asta în condițiile în care în acel an economia a înregistrat un regres, iar România a avut unele dintre cele mai dure măsuri de austeritate din Europa. Numărul de angajați s-a redus și el cu peste jumătate, până la 25.176, potrivit datelor prezentate pe site-ul Ministerului Finanțelor.

Privatizarea Petrom a fost motiv de scandal politic între Traian Băsescu și Adrian Năstase. „După cum bine știți, privatizarea către OMV a Petromului românesc și a resurselor de țiței plus 50% din gaze s-a făcut în Guvernul Năstase. Nu știu care au fost dedesubturile, dar vă pot garanta că dacă aș fi fost un factor de decizie la aceea vreme nu se privatiza Petrom”, a declarat Traian Băsescu. Pe de altă parte, Adrian Năstase l-a acuzat pe fostul președinte că obligația de privatizare a Petrom a fost asumată chiar de el, prin celebrul Memorandum cu Banca Mondială din anul 2000. Fostul premier a publicat, pe blogul propriu, părți din Memorandumul închetiat între statul român și Banca Mondială în anul 2000, document pe care se regăsește și semnătura ministrului Transporturilor de atunci, Traian Băsescu.

Înainte de privatizare, Petrom a fost în centrul mai mult scandaluri de corupție. Mai mulți afaceriști, în schimbul unor servicii fictive sau supraevaluate, au supt, fără vreo reținere, miliarde din banul public pe care îl administra Petrom, de multe ori chiar în complicitate cu politicienii.
