Culisele Statului Paralel – Angajații PETROM vor primi 8% din acțiunile companiei

Statul român este obligat să vândă către salariații OMV Petrom o cotă de până la 8% din capitalul social al companiei. Prețul acțiunilor ar trebui să fie cel la care grupul austriac OMV a preluat controlul asupra Petrom în 2004, așa cum prevede legislația de privatizare a societății. Este decizia de anul trecut a Înaltei Curți de Casație și Justiție.

Totul a început după ce, în 2008, la patru ani de la privatizare, un grup de salariați Petrom a dat Guvernul în judecată la Curtea de Apel Pitești. Au cerut atunci instanței să oblige autoritățile să respecte legislația de privatizare a companiei și să emită hotărârea de guvern în completarea legii. Decizia ÎCCJ este definitivă.

Din 2008 și până în prezent, cel puțin 10 acțiuni similare au fost intentate de angajații Petrom în justiție pentru a obliga statul român să le vândă acțiunile promise. Mai mult, cazul a ajuns în 2011 și la Curtea Constituțională, cu reclamația că este neconstituțional ca legislația de privatizare a Petrom să nu prevadă un termen de emitere a hotărârii de guvern pentru vânzarea acțiunilor către salariați. CCR a respins însă reclamația.

Vânzarea pachetului de 8% era stabilită prin legea de privatizare a Petrom, însă statul român a amânat cât a putut acest moment și n-a mai emis și celelalte acte normative. Statul român ar trebui, practic, să renunțe la mare parte din pachetul de 20% pe care îl mai deține la Petrom.

Potrivit deciziei judecătorești, autoritățile române sunt penalizate de Înalta Curte de Casaţie şi Justiţie cu câte 1.000 de lei pentru fiecare zi în care întârzie să vândă prin bursă pachetul de până la 8% din participația pe care o are la Petrom. Astfel, din 8 mai 2019 încoace, adică de când ÎCCJ a dat câştig de cauză celor circa 14.400 de reclamanți s-au strâns sume considerabile sub formă de penalităţi.

Johan Meyer, managerul Fondului Proprietatea, instituția care deține o cotă de 10% din Petrom, preciza la jumătatea anului trecut că vânzarea a 8% din Petrom către angajați va dura ani de zile, în condițiile în care legislația nu este clară cu privire la cine sunt beneficiarii și care este exact procentul de acțiuni.

În 2015, autorităţile au vrut să reia vânzarea acţiunilor Petrom către salariaţii companiei, în condițiile în care subiectul nu mai fusese în atenţia Guvernului din 2008, după debutul celebrului dosar al privatizărilor strategice, care a culminat cu condamnarea la închisoare a fostului ministru al Economiei, Codruţ Şereş. El a inițiat, pe vremea când conducea Ministerul Economiei, procedura de vânzare, iscând o dispută asupra metodei potrivite: direct către persoanele fizice îndreptățite sau prin intermediul Asociaţiei Salariaţilor, condusă de liderul de sindicat Liviu Luca.

Acesta, împreună cu alte persoane, printre care omul de afaceri Sorin Ovidiu Vîntu au fost condamnaţi în urmă cu doi ani, de Curtea de Apel Bucureşti, la zece ani de închisoare în dosarul delapidării patrimoniului Asociaţiei Salariaţilor din cadrul SNP Petrom SA.

Amintim și că foștii miniștri Codruț Sereș și Zsolt Nagy, acuzați de DIICOT pentru trădare prin transmitere de secrete, au fost condamnați la 6 ani, respectiv 5 ani de închisoare.

Potrivit procurorilor, fostul ministru al Economiei Codruţ Şereş ar fi avut mai multe întâlniri, în cursul anului 2005, cu bulgarul Stamen Stancev, pentru a pune la punct un act normativ privind vânzarea unui pachet de 8% din acțiunile Petrom, în favoarea Asociației salariaților Petrom, controlată de controversatul Liviu Luca. Proiectul de lege nu a fost adoptat însă de Guvern, din cauza opoziției unor miniștri.

În prezent, compania Petrom este controlată de grupul austriac OMV, cu puțin peste 51% din acțiuni, celălalt acționar fiind statul român prin Ministerul Energiei, cu 20,63% din capital. Participația statului ar urma să scadă la 12,63% dacă ministerul va vinde acțiuni Petrom către salariați. La prețul la care s-a făcut privatizarea și la care salariații ar urma să cumpere, un pachet de 8% din acțiunile OMV Petrom valorează 237,9 milioane euro.
