OMV a încălcat contractul privatizării Petrom, statul român plătește – Tranzacții misterioase, cum s-au vândut acțiunile

Statul Român asistă pasiv în timp ce la OMV-Petrom, cea mai mare companie din România, după cifra de afaceri, sunt orchestrate tranzacții misterioase. La interval de 11 luni, Fondul Proprietatea a vândut un pachet semnificativ de acțiuni, la fix același preț!

Mai exact, anul acesta, pe 14 decembrie, Fondul Proprietatea (FP) a vândut 2,85% dintre acțiunile OMV Petrom – de altfel și ultimele deținute de către Fond – la prețul de 0,43 lei/acțiunea, cu un discount de 7% din față de prețul din piață.

„Franklin Templeton International Services SRL, în calitate de administrator de fond de investiţii alternative şi administrator unic al Fondul Proprietatea SA, în continuarea anunţului de lansare publicat în data de 13 decembrie 2022, anunţă acordul de a vinde un număr de 1.777.067.726 acţiuni ordinare, reprezentând întreaga deţinere a Fondului Proprietatea la OMV Petrom SA, urmare a finalizării ofertei de plasament privat accelerat”, se menţionează într-un raport al FP.

„Petrom nu va încasa nicio sumă de bani ca urmare a tranzacţiei. Sub rezerva decontării Tranzacţiei, Fondul nu va mai deţine acţiuni la Petrom”, se mai subliniază în raport.

Erste Group Bank AG şi SSIF Swiss Capital SA au acţionat în calitate de Joint Global Coordinators şi Joint Bookrunners, iar Banca Comercială Română S.A. şi Auerbach Grayson and Company LLC au acţionat în calitate de Joint Bookrunners în cadrul tranzacţiei.

Fondul Proprietatea a anunţat săptămâna trecută că intenţionează să vândă întreaga participaţie pe care o deţine la OMV Petrom, procesul de plasament privat accelerat urmând să fie demarat imediat.

RAPORTUL FONDULUI PROPRIETATEA poate fi consultat AICI.

Cu 11 luni în urmă, pe 19 ianuarie, același Fond Proprietatea a vândut 4% din compania OMV Petrom la același preț, de 0,43 lei/acțiune, cu un discount și mai mare, de peste 9%, căci prețul pieței era atunci de 0,47 lei/acțiune.

Misterul tranzacțiilor se adâncește și mai mult odată cu dezvăluirea dirijorilor din umbră. Și pe 19 ianuarie și pe 14 decembrie, tranzacția a fost realizată de Erste Group Bank AG și SSIF Swiss Capital S.A.. Adică, la un capăt se afla banca austriacă Erste împreună cu un partener, iar la capătul celălalt se afla banca BCR, cu acționar majoritar Erste, împreună cu alt partener.

Capitalizarea OMV Petrom, adică valoarea tuturor acțiunilor sale, la data de 15 decembrie 2022 a fost de 28,35 de miliarde de lei.

Vorbim, așadar, de un profit net – doar pe primele 9 luni ale anului – de 9,15 miliarde de lei. Adică mai bine de 1 miliard de lei/lună. Adică o treime (peste 32%) din valoarea acțiunilor este doar profitul la nouă luni.
